1. Agreement to Terms

By accessing or using RelayPayroll, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the service.

  • You must be at least 18 years of age or an authorized representative of a business entity to use RelayPayroll.
  • Each account represents one organization (company). All users within that account operate under these terms.

2. Description of Service

RelayPayroll is a software-as-a-service (SaaS) payroll management platform designed for businesses operating in the Philippines.

Our services include:

  • Payroll processing and computation
  • Attendance and time tracking
  • Leave management
  • Shift scheduling
  • Employee records management
  • Statutory compliance tools (SSS, PhilHealth, Pag-IBIG, TRAIN)

The service is provided "as-is" and is continuously improved. Features may be added, modified, or removed as part of ongoing development.

3. Account Registration

  • You must provide accurate and complete company and administrator information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • One administrator account is created at signup. Additional users are managed within the platform by your organization's administrator.
  • You must notify us immediately at legal@relaypayroll.com if you become aware of any unauthorized access to your account.

4. Subscription and Billing

  • RelayPayroll uses per-employee, per-month pricing. You are charged based on the number of active employees in your account at the time of billing.
  • All payments are processed securely through Stripe, a PCI-compliant payment processor. RelayPayroll does not store your credit card information.
  • Annual plans are billed upfront at a discounted rate.
  • We reserve the right to change pricing with at least 30 days' prior written notice. Price changes will not affect your current billing cycle.

5. Free Trial

  • New accounts receive a 14-day free trial of the Professional plan.
  • No credit card is required to start your trial.
  • Your trial will automatically expire after 14 days unless you upgrade to a paid plan.
  • Trial data is preserved for 30 days after expiry, giving you time to upgrade without losing your work.

6. Data Ownership

  • You retain full ownership of all data you enter into RelayPayroll, including employee records, payroll data, and attendance logs.
  • We do not sell, rent, or share your data with third parties for any purpose.
  • You may export your data at any time using the built-in export tools.
  • Upon account deletion, all your data is permanently and irreversibly removed after a 30-day grace period.

7. Data Security

  • RelayPayroll enforces row-level tenant isolation — your company's data is never mixed with another organization's data.
  • All data is encrypted in transit using TLS and encrypted at rest.
  • We perform regular automated backups to ensure data durability.
  • In the event of a data breach, we will notify affected users within 72 hours of discovery.

8. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to access, tamper with, or use data belonging to other tenants.
  • Reverse engineer, decompile, modify, or distribute any part of the RelayPayroll software.
  • Use automated tools, bots, or scripts to scrape, overload, or interfere with the service.

9. Statutory Compliance Disclaimer

RelayPayroll provides tools for computing Philippine statutory contributions and deductions, including SSS, PhilHealth, Pag-IBIG, and TRAIN (income tax).

  • We update contribution tables based on officially published government circulars and schedules.
  • However, RelayPayroll is not a government agency and does not guarantee 100% accuracy of statutory computations at all times.
  • Users are responsible for verifying payroll computations against official government sources before filing or remitting.
  • RelayPayroll shall not be held liable for penalties, interest, or other consequences arising from statutory compliance errors.

10. Limitation of Liability

  • The service is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied.
  • RelayPayroll shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service.
  • Our total aggregate liability to you shall not exceed the amount you have paid to RelayPayroll in the 12 months preceding the claim.
  • We are not liable for service downtime, data loss beyond what is recoverable from backups, or failures caused by third-party integrations.

11. Termination

  • You may cancel your subscription at any time from your admin dashboard.
  • We reserve the right to suspend or terminate accounts that violate these Terms of Service.
  • Upon termination, access to your account is revoked immediately. Your data will be retained for 30 days and then permanently deleted.

12. Changes to Terms

  • We may update these Terms of Service from time to time.
  • Material changes will be communicated via email at least 30 days before they take effect.
  • Your continued use of RelayPayroll after changes take effect constitutes your acceptance of the updated terms.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from or relating to these terms shall be resolved exclusively in the courts of Makati City, Metro Manila.
